Quebec Real Estate : “Amendments and notice of fulfillment of conditions

As we know, real estate brokers and agents who en-gage in brokerage activities regarding a chiefly residential immovable containing less than five dwellings must use certain mandatory forms.

As its name indicates, this form must be used in two types of circumstances: 1) when the parties to an agreement already signed (Promise to Purchase or Brokerage Contract) wish to amend its terms and conditions and 2) when one party must notify the other that one or more of the conditions prescribed in a Promise to Purchase are fulfilled.

Fulfilment of conditions

The “Amendments and Notice of Fulfilment of Conditions” form must also be used when a party notifies the other party that one or more of the conditions prescribed in a Promise to Purchase are fulfilled. Contrary to the case where the form is used to amend the agreement, the signature of the party for whom the Notice of Fulfilment of Conditions is intended does not certify the agreement of the parties but simply acknowledges receipt of the notice. The recipient’s signature is therefore not essential to the notice’s validity. However, it is preferable to obtain this signature, because it proves that the notice has been given within the period provided to do so.

Quebec Real Estate: « Modifications et avis de réalisation de conditions »

Comme on le sait, les courtiers et les agents immobiliers qui se livrent à des activités de courtage à l’égard d’un immeuble principalement résidentiel de moins de cinq logements doivent utiliser certains formulaires obligatoires.

Comme son nom l’indique, ce formulaire doit être utilisé dans deux types de circonstances :

1) lorsque les parties à une entente déjà signée (promesse d’achat ou contrat de courtage) désirent en modifier les termes et conditions

2) lorsqu’une partie doit aviser l’autre qu’une ou plusieurs des conditions prévues à une promesse d’achat sont réalisées.

Réalisation de condition

Le formulaire « Modifications et avis de réalisation de conditions » doit aussi être utilisé lorsqu’une partie avise l’autre qu’une ou plusieurs des conditions prévues à une promesse d’achat sont réalisées. Contrairement au cas où le formulaire est utilisé pour faire une modification à l’entente, la signature de la partie à qui est destiné l’avis de réalisation de conditions ne sert pas à attester de l’accord des parties mais simplement à accuser réception de l’avis. La signature du destinataire n’est donc pas essentielle à la validité de l’avis. Il est cependant préférable d’obtenir cette signature car elle prouve que l’avis a été donné à l’intérieur des délais prévus pour ce faire.

Responsibility-Latent defects

Quebec Real Estate – LATENT DEFECTS-

It is the responsibility of the buyer to identify the apparent defects and to declare them to the contractor. Problems such cracks in the wall and floors, roof that leaks, and doors that do not close tight are examples of defects which must be identified during the purchase period. These defects could be used to negotiate the sale price, but primarily should be identified and repaired. In regards to latent defects, the following conditions MUST be met:

–          Defects shouldn’t be apparent, i.e. non-visible;

–          Defect must be present prior to the purchase;

–          Defect is unknown to the buyer;

–          Defect must be important;

–          Defect is a nuisance for the enjoyment of the premises.
